ROBAT CREATOR TERMS & CONDITIONS

These ROBAT Creator Terms & Conditions (the “Creator Terms”) govern participation as a creator on ROBAT TV and constitute a legally binding agreement between you (“Creator,” “you,” or “your”) and Two Second Media, Inc., dba ROBAT TV (“ROBAT,” “we,” “us,” or “our”).
By creating or maintaining a Creator account, owning or operating a Channel, uploading or providing Content, participating in the ROBAT Economy, or otherwise using ROBAT as a Creator, you acknowledge that you have read, understood, and agree to these Creator Terms and any other policies incorporated into them by reference.
If you do not agree to these Creator Terms, you may not participate on ROBAT as a Creator.
1. ROBAT AND THE CREATOR RELATIONSHIP
ROBAT operates a subscription entertainment platform through which creators may publish, distribute, promote, and monetize eligible programming and other content.
Participation as a Creator does not create an employment relationship, partnership, joint venture, franchise, agency relationship, fiduciary relationship, or other similar relationship between ROBAT and Creator.
Except where ROBAT and Creator enter into a separate written agreement expressly stating otherwise, Creator participates as an independent content provider and is responsible for Creator's own activities, obligations, expenses, taxes, personnel, and business decisions.
Nothing in these Creator Terms obligates ROBAT to employ Creator, purchase Content from Creator, finance Creator's productions, provide production services, promote Creator, guarantee distribution, or guarantee Creator any particular level of exposure, audience, engagement, revenue, or compensation.
2. CREATOR ELIGIBILITY
To participate as a ROBAT Creator, you must satisfy ROBAT's applicable eligibility requirements.
ROBAT may establish or modify eligibility requirements from time to time, including requirements relating to age, identity verification, account standing, legal capacity, geographic availability, tax information, payment onboarding, acceptance of applicable agreements, and compliance with ROBAT policies.
If you are accepting these Creator Terms on behalf of a company, organization, production company, or other legal entity, you represent that you have authority to bind that entity to these Creator Terms.
You are responsible for maintaining accurate account information and promptly updating information that becomes inaccurate or incomplete.
3. CREATOR ACCOUNTS
Your Creator account is personal to you or the legal entity under which it was established.
You are responsible for maintaining the confidentiality and security of your login credentials and for activity conducted through your account.
You may not sell, transfer, assign, share, or otherwise permit another person to assume control of your Creator account except through a process expressly authorized by ROBAT.
You must promptly notify ROBAT if you believe your account has been compromised or accessed without authorization.
ROBAT may require identity verification, business verification, payment verification, or other reasonable documentation before permitting access to particular Creator features or releasing payments.
4. CHANNELS
ROBAT may permit Creators to establish or own one or more Channels.
A Channel may contain programming, videos, live streams, music, artwork, descriptions, promotional materials, and other Content associated with the Creator or Channel.
ROBAT may permit Channel owners to designate managers or other authorized users.
Unless ROBAT expressly provides otherwise, a Channel manager does not acquire ownership of the Channel or any right to receive ROBAT Economy earnings merely by being designated as a manager.
The Channel owner remains responsible for activity conducted through the Channel and for ensuring that managers and other authorized users comply with ROBAT's requirements.
5. CREATOR CONTENT
For purposes of these Creator Terms, “Creator Content” or “Content” means any video, audio, music, photograph, artwork, graphic, title, logo, name, likeness, performance, recording, script, written material, metadata, promotional material, live stream, or other material submitted, uploaded, transmitted, delivered, or otherwise made available to ROBAT by or on behalf of Creator.
Except for rights expressly granted to ROBAT under these Creator Terms or another written agreement, Creator retains Creator's ownership rights in Creator Content.
Uploading or distributing Content through ROBAT does not transfer ownership of that Content to ROBAT.
6. LICENSE TO ROBAT
By submitting Creator Content to ROBAT, Creator grants ROBAT a non-exclusive, worldwide, royalty-free license, during the period the Content is made available through ROBAT and for a reasonable period thereafter as necessary for archival, promotional, technical, legal, and administrative purposes, to host, store, reproduce, encode, transcode, format, transmit, stream, publicly perform, publicly display, distribute, make available, and otherwise use the Content as reasonably necessary to operate, market, promote, and improve ROBAT and its services.
This license includes the right to create technical copies, alternate formats, thumbnails, previews, excerpts, clips, promotional edits, trailers, social-media assets, and other materials derived from Creator Content for purposes related to operating or promoting ROBAT, the Creator, the Creator's Channel, or the Creator's programming.
ROBAT may use Creator's Channel name, Creator name, professional name, approved biography, trademarks, logos, photographs, likeness, voice, and other identifying promotional materials in connection with the distribution and promotion of Creator Content and ROBAT.
ROBAT does not acquire ownership of Creator's underlying intellectual property merely by exercising these rights.
7. DISTRIBUTION AND PLATFORM OPERATION
Creator acknowledges that ROBAT controls the design, operation, organization, presentation, programming environment, discovery systems, recommendation systems, search systems, promotional placement, and other functions of the ROBAT platform.
ROBAT may determine where and how Content appears within the service.
ROBAT is not required to make all Creator Content available at all times or through every device, interface, application, territory, promotional campaign, or distribution method.
ROBAT may modify technical specifications, encoding requirements, metadata requirements, Content categories, Channel structures, discovery systems, and other platform features.
No particular placement, ranking, recommendation, promotion, audience size, or distribution level is guaranteed.
8. CREATOR REPRESENTATIONS AND WARRANTIES
Creator represents and warrants that:
Creator owns the Creator Content or possesses all rights, licenses, permissions, releases, and authorizations necessary to provide it to ROBAT and grant the rights described in these Creator Terms.
Creator Content does not knowingly infringe or misappropriate any copyright, trademark, right of publicity, right of privacy, contractual right, or other right of any third party.
Creator has obtained any necessary permissions from performers, guests, writers, producers, photographers, musicians, composers, publishers, labels, locations, licensors, and other rights holders whose material or participation appears in the Content.
Creator has the legal authority to enter into these Creator Terms.
Information Creator provides to ROBAT is accurate and not intentionally misleading.
Creator's use of ROBAT will comply with applicable law and ROBAT policies.
Creator remains responsible for obtaining and maintaining all rights necessary for Creator Content.
9. MUSIC AND THIRD-PARTY MATERIAL
Creator may not include copyrighted music, footage, photographs, artwork, trademarks, performances, clips, or other third-party material in Creator Content unless Creator has the legal right to do so.
The fact that material is available elsewhere on the Internet does not mean it is authorized for use on ROBAT.
Creator is responsible for determining whether licenses, releases, permissions, synchronization rights, master-use rights, performance rights, mechanical rights, or other permissions are required for Creator Content.
ROBAT may request evidence of rights or clearances and may restrict, mute, remove, disable, or otherwise take action concerning Content where ROBAT reasonably believes rights may be disputed.
10. PROHIBITED CONTENT AND CONDUCT
Creator may not use ROBAT to publish or facilitate Content or conduct prohibited by applicable law or ROBAT's platform policies.
ROBAT may establish additional Content standards, safety policies, technical requirements, community rules, or prohibited-content policies from time to time.
Creator may not manipulate ROBAT systems, interfere with platform operation, gain unauthorized access to accounts or systems, submit fraudulent information, impersonate another person, or use ROBAT for unlawful purposes.
Participation in the ROBAT Economy is also subject to the anti-manipulation requirements described below.
11. CONTENT REVIEW AND REMOVAL
ROBAT may review Content but is not obligated to pre-screen all Content before publication.
ROBAT may restrict, remove, disable, suspend, age-restrict, reclassify, demonetize, or otherwise take action concerning Content when ROBAT reasonably determines that the Content:
violates these Creator Terms or another ROBAT policy;
may violate applicable law;
may infringe third-party rights;
presents technical, security, reputational, or operational concerns;
has been subject to a legal complaint or rights claim; or
is otherwise inappropriate for continued distribution through ROBAT.
Removal of Content does not necessarily terminate Creator's account or Channel, although serious or repeated violations may result in suspension or termination.
12. ROBAT-PRODUCED AND ROBAT-SUPPORTED CONTENT
ROBAT may separately offer production services, including programs such as ROBAT Free Production.
Participation in a ROBAT production program is separate from general Creator status and may be governed by additional terms, production releases, talent releases, licenses, schedules, ownership agreements, or other written agreements.
These Creator Terms do not by themselves guarantee any Creator access to free production, studio time, production personnel, equipment, editing, marketing, or other ROBAT resources.
If a separate written production agreement conflicts with these Creator Terms concerning a particular production, the specific production agreement will control with respect to that production.
13. THE ROBAT ECONOMY
ROBAT operates an incentive and reward framework known as the “ROBAT Economy.”
The ROBAT Economy is designed to permit eligible participants who contribute value to ROBAT to participate in economic rewards under programs established by ROBAT.
The ROBAT Economy may contain multiple participation programs with different eligibility requirements, earning rules, measurement systems, rewards, and payment methods.
Creator participation is primarily governed through the Creator Economy portion of the ROBAT Economy.
The Creator Economy may recognize both:
Audience Engagement, representing qualifying subscriber interaction with Creator Content; and
Audience Acquisition, representing qualifying activity through which Creator Content contributes to bringing prospective or new subscribers into ROBAT.
Creator acknowledges that the ROBAT Economy is a performance-based incentive program and is not a guarantee of compensation.
14. NET SUBSCRIPTION REVENUE
ROBAT may use qualifying Net Subscription Revenue as a financial basis for funding portions of the ROBAT Economy.
Net Subscription Revenue is determined by ROBAT according to the applicable Economy rules and may reflect subscription revenue actually received or recognized by ROBAT after applicable deductions, adjustments, refunds, payment processing costs, chargebacks, disputes, taxes, promotional periods, credits, trials, prorations, and other applicable financial adjustments.
Amounts associated with financing arrangements, loans, or similar financing transactions may be excluded from Net Subscription Revenue.
ROBAT's calculation of Net Subscription Revenue for purposes of the ROBAT Economy will control absent manifest error.
15. CREATOR RESERVE
ROBAT may allocate a percentage of Net Subscription Revenue to a Creator Reserve for participation by eligible Creators through the Creator Economy.
The percentage allocated to the Creator Reserve is established by ROBAT and may be modified prospectively from time to time.
The existence or amount of a Creator Reserve does not mean that the entire Creator Reserve will necessarily be distributed during a particular accounting period.
The Creator Reserve represents the amount from which ROBAT may establish the applicable Distributable Pool under the ROBAT Economy.
16. DISTRIBUTABLE POOL AND ECONOMY STAGING
For any accounting period, ROBAT may designate all or a portion of the Creator Reserve as the “Distributable Pool.”
ROBAT may establish a distribution percentage, staging percentage, Beta percentage, or similar configuration determining how much of the Creator Reserve is made available for Creator distribution during an accounting period.
This allows ROBAT to introduce, test, calibrate, expand, and mature the ROBAT Economy over time.
ROBAT may prospectively increase, decrease, or otherwise modify the portion of the Creator Reserve made available for distribution.
Amounts within the Creator Reserve that are not designated for distribution during an accounting period remain with ROBAT and do not constitute Creator earnings, deferred Creator compensation, or amounts owed to Creators.
Changes to the applicable distribution percentage will not retroactively change a finalized accounting period.
17. CREDIT-BASED ECONOMY
The ROBAT Creator Economy operates using a credit-based measurement system.
Credits are measurement units used to evaluate qualifying Creator contributions. Credits are not currency, stored value, property, wages, securities, or a promise to pay a particular dollar amount.
Credits have no fixed cash value.
ROBAT may establish different types of credits, including Engagement Credits and Acquisition Credits.
The monetary value attributable to credits, if any, is determined through the applicable ROBAT Economy calculations for the relevant accounting period.
A credit therefore does not entitle Creator to a fixed amount per view, minute, play, click, subscriber, referral, or other event.
18. ENGAGEMENT CREDITS
ROBAT may award Engagement Credits when authenticated subscribers engage with eligible Creator Content in qualifying ways.
Qualifying activity may include, depending on the Content type and current Economy configuration:
beginning meaningful playback;
reaching specified playback or completion milestones;
watching qualifying portions of live programming;
liking eligible Content;
following a Channel or artist;
listening to eligible music;
completing eligible music playback milestones; and
other qualifying engagement established by ROBAT.
ROBAT may use milestone-based measurement rather than simply measuring raw minutes watched.
Different Content formats may use different engagement rules. For example, on-demand programming, live programming, and music may be measured differently.
ROBAT determines which events qualify, the number of credits associated with those events, session requirements, duplicate-event rules, anti-abuse rules, and other measurement standards.
19. ACQUISITION CREDITS
Creators may also earn Acquisition Credits when eligible Creator Content contributes to qualifying audience-acquisition activity.
Qualifying acquisition events may include activity such as:
completion of an eligible Content preview;
creation of a new ROBAT account;
purchase of a ROBAT subscription; and
other qualifying acquisition milestones established by ROBAT.
ROBAT may use tracked sharing links, attribution systems, account activity, subscription activity, and other technical information to determine whether an acquisition event is attributable to Creator Content.
Not every share, click, link opening, impression, account visit, or other activity qualifies for Acquisition Credits.
ROBAT determines the attribution methodology and qualifying acquisition stages.
20. CREATOR SCORE
ROBAT may combine different categories of credits into a Creator Score or similar performance measurement.
The Creator Score may assign different weights to Engagement Credits, Acquisition Credits, or other qualifying Creator activities.
ROBAT determines the applicable weighting and may modify weighting prospectively as the Economy develops.
Creator's share of a Distributable Pool may be determined by comparing Creator's qualifying score with the aggregate qualifying scores of other eligible Creators for the same accounting period.
Accordingly, Creator's earnings depend not only on Creator's own activity but may also depend on the size of the applicable Distributable Pool and the qualifying performance of other Creators.
There are no guaranteed earnings associated with achieving any particular number of credits or any particular Creator Score.
21. ECONOMY CONFIGURATION
ROBAT may establish and prospectively modify ROBAT Economy configurations, including:
credit values;
qualifying events;
engagement milestones;
acquisition milestones;
attribution rules;
session requirements;
Creator Score formulas;
Engagement and Acquisition weighting;
Creator Reserve percentages;
Distributable Pool percentages;
Beta or staging percentages;
eligibility requirements;
payout thresholds;
anti-fraud requirements;
onboarding requirements;
program availability; and
other rules reasonably necessary to operate and develop the ROBAT Economy.
Creator acknowledges that the ROBAT Economy is expected to evolve as ROBAT grows and obtains additional operating data.
Unless expressly stated otherwise, a configuration change applies prospectively and does not recalculate or rewrite a finalized accounting period.
22. ACCOUNTING PERIODS
ROBAT Economy accounting is conducted in recurring accounting periods established by ROBAT.
ROBAT currently uses weekly accounting periods for Creator Economy calculations.
ROBAT may establish reasonable processing time between the end of an accounting period and finalization of that period to permit payment settlement, financial reconciliation, fraud review, refunds, disputes, and other administrative processes.
Creator-facing statements may aggregate multiple accounting periods, including monthly summaries of weekly periods.
The existence of a monthly statement does not convert the underlying accounting periods into monthly accounting periods.
23. FINALIZATION OF ACCOUNTING PERIODS
Once ROBAT finalizes an accounting period, the applicable credits, Economy configuration, Creator Score, allocation, and other accounting information for that period become final except where correction is required by law, payment processor requirements, fraud, technical error, or manifest accounting error.
ROBAT generally will not recalculate finalized periods because of later changes to Economy configurations.
Refunds, chargebacks, disputes, and similar financial adjustments occurring after a period has been finalized may be reflected in a later accounting period rather than rewriting the prior period.
This structure is intended to provide predictable and auditable accounting.
24. CREATOR ELIGIBILITY FOR ECONOMY PARTICIPATION
ROBAT may require that a Creator satisfy all applicable eligibility requirements before receiving Creator Economy payouts.
Eligibility may include:
maintaining an eligible Creator account;
owning an eligible ROBAT Channel;
accepting the then-current Creator Terms and applicable Economy terms;
maintaining an account in good standing;
completing required identity and tax information;
completing Stripe Connect or another approved payment onboarding process;
satisfying applicable legal and geographic requirements; and
complying with ROBAT's platform and Economy rules.
Channel managers do not receive Creator Economy earnings merely because they manage a Channel. Unless otherwise established in writing by ROBAT, Creator Economy earnings associated with a Channel are attributable to the eligible Channel owner.
25. ONBOARDING GRACE PERIOD
ROBAT may permit credits and potential earnings to accumulate for a limited onboarding grace period while an otherwise eligible Creator completes required Economy documentation and payment onboarding.
The current Creator Economy may provide a grace period beginning when a Creator first earns qualifying credits.
If Creator does not complete required onboarding within the applicable grace period, ROBAT may pause further credit accrual until the outstanding requirements are completed.
Previously accumulated eligible balances will not be forfeited solely because the onboarding grace period expires unless otherwise required by these Creator Terms, law, fraud enforcement, or account closure rules.
Credit accrual may resume after Creator completes the outstanding requirements.
26. CHANNEL OWNERSHIP AND ECONOMY EARNINGS
For purposes of Creator Economy allocation, ROBAT may determine the beneficiary of Channel activity based on Channel ownership at the time an accounting period is closed or finalized.
Unless ROBAT expressly establishes otherwise, the eligible owner of the Channel at the applicable close time receives the Creator Economy allocation associated with that Channel for that accounting period.
ROBAT is not required to prorate Creator Economy earnings when Channel ownership changes during an accounting period.
Creators transferring ownership of a Channel are responsible for considering this rule as part of any private transaction or agreement relating to the Channel.
ROBAT is not responsible for privately negotiated revenue-sharing arrangements between Channel owners, former owners, managers, performers, production partners, or other parties.
27. PAYOUTS
Eligible Creator Economy payments may be made through Stripe Connect or another payment service selected by ROBAT.
Creator must complete all required payment onboarding before receiving a payout.
ROBAT may establish a minimum payout threshold.
If Creator's payable balance does not meet the applicable threshold, the balance may roll forward until the threshold is satisfied.
Reaching the payout threshold does not override other eligibility, compliance, fraud-review, payment-processing, or legal requirements.
Payment timing may be affected by weekends, holidays, payment processor availability, banking systems, compliance reviews, account restrictions, technical failures, or circumstances outside ROBAT's reasonable control.
28. STRIPE CONNECT AND PAYMENT PROCESSORS
ROBAT may use Stripe Connect or another third-party payment processor to facilitate Creator payments.
Creator may be required to establish or maintain an account with the payment processor and agree to that provider's separate terms and policies.
Payment processors may require Creator to provide identification, banking information, tax information, business information, or other documentation.
ROBAT does not control the payment processor's independent verification, account restriction, banking, compliance, or payment-processing decisions.
Creator is responsible for maintaining accurate payment information.
29. TAXES
Creator is responsible for determining and satisfying Creator's own federal, state, local, and other tax obligations arising from payments received through ROBAT.
ROBAT or its payment processor may collect tax information and may issue or facilitate tax reporting documents when required by law.
Nothing provided by ROBAT constitutes tax, accounting, or legal advice to Creator.
30. INVALID, FRAUDULENT, OR MANIPULATED ACTIVITY
The ROBAT Economy is intended to reward genuine subscriber engagement and legitimate audience acquisition.
Creator may not artificially generate or manipulate credits, engagement, acquisition activity, referrals, subscriptions, Creator Scores, or other Economy measurements.
Prohibited conduct includes using or coordinating:
bots or automated traffic;
fake or duplicate accounts;
fraudulent subscriptions;
artificial playback;
repeated refreshing or playback designed primarily to generate credits;
click farms;
compensated or coordinated activity intended primarily to manipulate Economy measurements;
self-dealing;
unauthorized account access;
false attribution;
manipulated referral activity; or
any other method designed to create Economy activity that ROBAT reasonably determines does not represent genuine user behavior.
ROBAT may exclude internal, self-generated, suspicious, duplicate, fraudulent, or otherwise invalid activity from Economy calculations.
Where ROBAT reasonably determines that manipulation or fraud has occurred, ROBAT may withhold unfinalized amounts, invalidate credits, suspend Economy participation, suspend or terminate accounts, and take other reasonable corrective action.
Nothing in this section requires ROBAT to alter legitimate finalized accounting periods except where necessary to address fraud, legal obligations, processor requirements, or manifest error.
31. INTERNAL AND SELF-GENERATED ACTIVITY
ROBAT may exclude activity generated by Creator, Channel owners, Channel managers, ROBAT administrators, other Creators, internal personnel, or other persons ROBAT considers internal to the applicable Content or Channel.
The purpose of this exclusion is to ensure that Creator Economy measurements reflect genuine subscriber behavior rather than activity generated by persons associated with producing, administering, or operating the Content.
32. SUBSCRIBER REFERRAL PROGRAM
The ROBAT Economy may include a Subscriber Referral Program separate from the Creator Economy.
Under that program, eligible subscribers may receive rewards for introducing new paying subscribers to ROBAT.
A single audience-acquisition event may generate separate recognition under more than one ROBAT Economy program. For example, Creator Content may receive Creator Acquisition credit while the subscriber who shared that Content may independently receive a Subscriber Referral reward.
These are separate rewards governed by separate participation rules.
Subscriber Referral rewards do not reduce the Creator's Acquisition Credits merely because another participant also receives recognition for the same underlying acquisition event.
Subscriber Referral rewards may be provided as ROBAT subscription credits rather than cash.
33. NO FIXED RATE PER VIEW, MINUTE, PLAY, OR SUBSCRIBER
ROBAT does not promise Creator a fixed payment for any view, minute watched, play, completion, like, follow, referral, account registration, subscription, or other individual event.
Statements made about views, watch time, engagement, credits, acquisition activity, Creator Scores, or other performance measurements should not be interpreted as establishing a fixed rate of compensation.
Creator Economy compensation is determined under the applicable Economy configuration and available Distributable Pool for the relevant accounting period.
34. ESTIMATED EARNINGS
ROBAT may display estimated earnings, projected earnings, credit counters, historical performance, simulation results, or other informational metrics.
Such information is provided for convenience and may change before an accounting period is finalized.
Estimated earnings are not amounts owed to Creator and are not guaranteed payments.
Only amounts finalized by ROBAT under the applicable Creator Economy rules become recognized Creator Economy earnings, subject to payment eligibility and these Creator Terms.
35. NO GUARANTEE OF EARNINGS
Participation in the ROBAT Economy creates an opportunity to earn compensation. It does not guarantee compensation.
Creator's results may vary substantially based on factors including:
ROBAT's Net Subscription Revenue;
the applicable Creator Reserve;
the applicable Distributable Pool;
ROBAT's current Economy configuration;
Creator's qualifying Engagement Credits;
Creator's qualifying Acquisition Credits;
Creator's Creator Score;
the performance of other eligible Creators;
subscriber behavior;
Creator eligibility;
refunds and chargebacks;
fraud and invalid-activity exclusions; and
other applicable Economy rules.
Past earnings do not guarantee future earnings.
Illustrations, simulations, examples, projections, calibration targets, or hypothetical earnings presented by ROBAT are not promises or guarantees of actual results.
36. NO GUARANTEE OF AUDIENCE OR SUCCESS
ROBAT does not guarantee that Creator will receive any particular number of:
subscribers;
viewers;
plays;
views;
followers;
likes;
referrals;
recommendations;
impressions;
promotional placements;
production opportunities;
sponsorships; or
other business opportunities.
Creator assumes the business risk associated with creating and distributing Content.
37. PROMOTION BY CREATOR
Creator may promote Creator's ROBAT Channel and Content through lawful marketing, social media, websites, email, personal networks, and other legitimate promotional channels.
Creator must not use deceptive advertising, spam, unlawful communications, false claims, misleading representations, impersonation, fraudulent acquisition tactics, or other prohibited practices.
Creator may not represent that ROBAT guarantees Creator earnings or that a prospective subscriber is guaranteed any particular benefit beyond ROBAT's official offering.
38. PLATFORM CHANGES
ROBAT is an evolving platform.
ROBAT may add, remove, modify, suspend, replace, or discontinue features, interfaces, Content formats, distribution methods, promotional systems, Economy programs, measurement methods, technical systems, or other aspects of the service.
ROBAT will endeavor to administer Creator Economy changes prospectively where those changes affect Creator compensation.
Nothing in these Creator Terms requires ROBAT to maintain any particular feature, technology, interface, program, payment processor, or business model indefinitely.
39. INTELLECTUAL PROPERTY COMPLAINTS
ROBAT respects intellectual property rights.
ROBAT may remove or restrict Content in response to copyright complaints, trademark complaints, rights-of-publicity claims, court orders, or other legal notices.
Creators who repeatedly infringe third-party rights may have their Content, Channels, or accounts suspended or terminated.
Creator agrees to cooperate reasonably with ROBAT in investigating legitimate rights claims involving Creator Content.
40. SUSPENSION
ROBAT may temporarily suspend Creator's account, Channel, Content, Economy participation, or payment eligibility where reasonably necessary to investigate:
suspected fraud;
manipulation;
security issues;
legal complaints;
intellectual-property claims;
payment processor issues;
violations of these Creator Terms;
violations of ROBAT policies; or
other material risks to ROBAT, its subscribers, Creators, or third parties.
Where reasonably practicable, ROBAT may provide Creator an opportunity to resolve the issue.
Suspension does not necessarily constitute termination.
41. TERMINATION BY CREATOR
Creator may stop publishing Content or close Creator's ROBAT account subject to ROBAT's applicable account-closure procedures.
Removing Content or closing an account does not eliminate obligations or liabilities arising before removal or closure.
Certain provisions of these Creator Terms will survive termination where their nature requires survival, including provisions concerning ownership, prior licenses and uses, payments, taxes, indemnification, limitations of liability, dispute resolution, and accrued obligations.
42. ACCOUNT CLOSURE AND PENDING ECONOMY BALANCES
If Creator voluntarily closes or deletes Creator's ROBAT account, unpaid or pending Creator Economy balances may be forfeited as provided by the applicable Economy rules.
Creator should therefore resolve eligible pending payouts before voluntarily closing an account where possible.
Amounts already validly paid to Creator for finalized periods are not forfeited merely because Creator later closes the account.
Suspension or termination initiated by ROBAT may be treated differently from voluntary account closure depending on the circumstances and applicable law.
43. TERMINATION BY ROBAT
ROBAT may suspend or terminate Creator's participation in ROBAT or the ROBAT Economy if Creator materially violates these Creator Terms, applicable law, ROBAT policies, payment requirements, intellectual-property requirements, or Economy integrity rules.
ROBAT may also discontinue Creator features, programs, or Creator participation where reasonably necessary for business, legal, operational, safety, reputational, or platform reasons.
Termination does not eliminate rights or obligations that accrued before termination.
The treatment of unpaid amounts following termination may depend on the reason for termination, the status of the applicable accounting period, payment eligibility, fraud findings, legal requirements, and these Creator Terms.
44. CREATOR EXPENSES
Unless ROBAT expressly agrees otherwise in writing, Creator is responsible for Creator's own costs and expenses associated with creating, producing, licensing, delivering, marketing, and promoting Creator Content.
Participation in the ROBAT Economy does not entitle Creator to reimbursement for production, travel, equipment, personnel, marketing, licensing, or other expenses.
45. INDEMNIFICATION
To the fullest extent permitted by law, Creator agrees to defend, indemnify, and hold harmless Two Second Media, Inc., ROBAT TV, and their respective officers, directors, employees, contractors, representatives, affiliates, successors, and assigns from and against claims, liabilities, damages, losses, judgments, settlements, penalties, costs, and reasonable attorneys' fees arising from or relating to:
Creator Content;
Creator's breach of these Creator Terms;
Creator's violation of applicable law;
Creator's infringement or alleged infringement of third-party rights;
Creator's failure to obtain required permissions, releases, or licenses;
Creator's fraud or misconduct; or
Creator's use of ROBAT in violation of applicable policies.
This obligation does not apply to the extent a claim results directly from ROBAT's own unlawful conduct.
46. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROBAT AND ITS CREATOR SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
ROBAT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES.
ROBAT DOES NOT WARRANT ANY PARTICULAR LEVEL OF AUDIENCE, ENGAGEMENT, DISCOVERY, DISTRIBUTION, SUBSCRIPTION GROWTH, ECONOMY PERFORMANCE, OR CREATOR EARNINGS.
Nothing in this section excludes warranties or rights that cannot lawfully be excluded.
47. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROBAT AND TWO SECOND MEDIA, INC. WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITIES, LOST DATA, LOSS OF GOODWILL, OR SIMILAR DAMAGES ARISING FROM OR RELATING TO CREATOR'S PARTICIPATION IN ROBAT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROBAT'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THESE CREATOR TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID OR PAYABLE BY ROBAT TO CREATOR DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Nothing in these Creator Terms limits liability that cannot lawfully be limited.
48. DISPUTE RESOLUTION
Before initiating formal legal proceedings, Creator and ROBAT agree to make a good-faith effort to resolve disputes informally.
Creator should first provide ROBAT written notice describing the dispute and requested resolution. ROBAT and Creator will attempt in good faith to resolve the matter through direct discussion.
If the dispute cannot be resolved informally, then, except for claims that legally cannot be subject to arbitration or claims seeking appropriate temporary or injunctive relief concerning intellectual property, security, confidentiality, or unauthorized platform access, disputes arising from or relating to these Creator Terms or Creator's participation in ROBAT will be resolved through binding arbitration.
The arbitration will be conducted on an individual basis and not as a class, collective, consolidated, or representative action, to the extent permitted by applicable law.
49. GOVERNING LAW
These Creator Terms will be governed by the laws of the State of Arizona, without regard to conflict-of-law principles, except where applicable federal law controls.
For disputes not subject to arbitration, Creator and ROBAT consent to jurisdiction and venue in the appropriate state or federal courts located in Arizona, subject to any mandatory jurisdictional rights provided by applicable law.
50. CHANGES TO THESE CREATOR TERMS
ROBAT may modify these Creator Terms from time to time.
When ROBAT makes material changes, ROBAT may provide notice through the ROBAT platform, Creator account, email, or another reasonable method.
ROBAT may require Creator to affirmatively accept updated Creator Terms before continuing to participate in certain Creator programs, including the ROBAT Economy.
Changes apply prospectively unless applicable law requires otherwise.
Continued participation after updated terms become effective constitutes acceptance where permitted by law.
51. CHANGES TO THE ROBAT ECONOMY
The ROBAT Economy is intended to develop as ROBAT's platform, subscriber base, programming, technology, financial model, and operating experience evolve.
Accordingly, ROBAT may prospectively modify Economy rules and configurations without amending these Creator Terms each time an operational configuration changes, provided the change is consistent with the rights and framework established by these Creator Terms.
Examples include changes to credit values, event qualification, Creator Score weighting, attribution rules, payout thresholds, Creator Reserve percentages, Distributable Pool percentages, staging percentages, and similar operational settings.
Finalized accounting periods generally remain governed by the configuration applicable when those periods were finalized.
52. ASSIGNMENT
Creator may not assign these Creator Terms or transfer Creator's rights or obligations under them without ROBAT's prior written consent.
ROBAT may assign these Creator Terms in connection with a merger, acquisition, corporate restructuring, financing, sale of assets, transfer of the ROBAT business, or similar transaction.
53. SEVERABILITY
If any provision of these Creator Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.
54. NO WAIVER
A failure by ROBAT to enforce any provision of these Creator Terms does not waive ROBAT's right to enforce that provision or another provision later.
A waiver is effective only if expressly made by an authorized representative of ROBAT.
55. ENTIRE AGREEMENT
These Creator Terms, together with applicable ROBAT policies and any additional written agreement expressly incorporated into them, constitute the agreement between Creator and ROBAT concerning the subjects addressed herein.
A separate written agreement concerning a specific production, licensing arrangement, sponsorship, employment relationship, production service, or other transaction may supplement these Creator Terms.
Where a separately executed written agreement expressly states that one of its provisions supersedes these Creator Terms, that provision will control for the subject matter of that agreement.
56. ELECTRONIC COMMUNICATIONS AND ACCEPTANCE
Creator consents to receive agreements, notices, disclosures, statements, tax-related communications, Economy information, and other communications electronically where permitted by law.
Creator's electronic acceptance of these Creator Terms has the same force and effect as a physical signature.
ROBAT may maintain electronic records showing the version of these Creator Terms accepted by Creator and the date and time of acceptance.
57. CONTACT
Questions concerning these Creator Terms, Creator accounts, Content rights, or the ROBAT Economy should be directed through ROBAT's designated support or legal contact methods.

CREATOR ACKNOWLEDGMENT
BY ACCEPTING THESE CREATOR TERMS, CREATOR ACKNOWLEDGES AND AGREES THAT:
Creator has read and understands these Creator Terms.
Creator has authority to enter into this agreement.
Creator retains ownership of Creator Content except for rights expressly granted to ROBAT.
Creator is responsible for obtaining the rights necessary to distribute Creator Content.
Participation in the ROBAT Economy does not guarantee earnings.
Credits do not have a fixed monetary value.
There is no guaranteed payment per view, minute, play, subscriber, referral, or other activity.
ROBAT may prospectively modify ROBAT Economy configurations and rules.
The Creator Reserve and Distributable Pool are separate concepts, and not all amounts allocated to a Creator Reserve are necessarily distributed during an accounting period.
Estimated earnings are not final earnings.
Creator Economy payouts are subject to eligibility, applicable thresholds, payment onboarding, and program rules.
Creator is responsible for applicable taxes.
Creator agrees to the dispute-resolution provisions contained in these Creator Terms.
By selecting “I Agree,” “Accept Creator Terms,” or a substantially similar electronic acceptance mechanism, Creator agrees to be legally bound by these Creator Terms.
